1. Vision, Mission and Values

2. Terms and Conditions for Membership
By joining the Better World Makers Network ("Network"), you agree to the following terms:
- Compliance with Vision, Mission, and Values
- You commit to uphold the Network’s Vision, Mission, and Values in all actions, words, and decisions related to Network projects.
- If the Network’s Management Team reasonably determines, after a transparent investigation, that you have violated these principles, your participation in affected projects may be terminated. The investigation process will include: (a) written notice of the alleged violation, (b) an opportunity to respond within 14 days, and (c) a documented decision. You may appeal the decision to an independent Network review panel within 30 days.
- Membership Shares and Consequences of Violation
- In the event of a confirmed violation, your rights tied to Network project shares (e.g., voting in governance bodies) will be suspended pending resolution.
- The Network may sell your suspended shares to another member at a fair market value, determined by an independent valuation process agreed upon by the Management Team and disclosed to you. Proceeds will be transferred to your account within 30 days of sale. While the sale price is final within Network governance, this does not waive your legal rights to seek judicial review where permitted by applicable law.
- Use of Network Platform
- You agree not to use the Network’s platform, resources, or member contacts to initiate or conduct projects with other members outside the Network’s governance structure, unless explicitly approved by the Management Team. This does not restrict your personal activities unrelated to the Network.
- Transparency and Governance
- You will provide relevant project-related information reasonably requested by the Network to ensure compliance with its governance standards and applicable laws. Personal data will be handled per the Network’s Privacy Policy.
- Duty to Projects and Conflict of Interest
- You (or your representative) will act in the best interests of any Network project you join, prioritizing collective goals over personal gain beyond agreed-upon benefits (e.g., fair compensation).
- If a potential conflict of interest arises, you will promptly disclose it in writing to (a) the project’s governance body and (b) the Network’s Project Management Office (PMO) Team. The PMO Team will review and issue a binding decision within 14 days, ensuring fairness and alignment with Network Values.
- Dispute Resolution
- In case of disputes arising from your membership or project participation, you agree to first submit the matter to the Network’s arbitration process, conducted by a neutral panel appointed by the Management Team. A decision will be provided within 60 days.
- If dissatisfied with the outcome, you may pursue legal action, provided you have exhausted this process and have a reasonable basis for escalation.
- Purpose and Scope of Membership
- Membership is designed to foster collaboration among like-minded individuals in a supportive environment, maximizing opportunities for co-creation and minimizing risks of disputes. It does not establish an employer-employee, agent-principal, or any other legal relationship that holds the Network liable for your actions or authorizes you to act as its representative.
- The Network is not responsible for individual member conduct outside its governance framework
3. Co-creators Contract
Preamble
This Co-creators Contract ("Contract") governs your participation as a co-creator in startup projects facilitated by the Better World Makers Network ("Network") and Startup Tribe. By signing, you agree to co-create value, share equitably, and uphold the Network’s Vision, Mission, and Values.
Definitions
- Ad Hoc Members: Temporary team members added to a Primary Team as needed (e.g., vendors, investors), whose contributions dilute Permanent Team Members’ shares proportionately.
- Building Blocks (BBs): Specific, priced work units outsourced to Co-creators for delivery (e.g., software module, business plan).
- Co-creators: Network members who collaborate in Startup Tribe teams to deliver Building Blocks and share value.
- Contractual Rates: Hourly rates agreed with Projects for Building Block delivery (e.g., $10/hour).
- Domain Experts (DEs): Co-creators providing expertise and oversight in a team, paired with R&D Associates.
- Equity Credits: Units earned by Co-creators for work on Building Blocks, convertible to cash, Equity Shares, or promiXo coins.
- Equity Shares: Ownership stakes in Projects, granted if Equity Credits remain unpaid past the Standard Credit Term.
- Estimated Man-Hours (EMH): Agreed hours required to deliver a Building Block, used for billing.
- Equitable Share: Predefined formula splitting value from Building Blocks: 20% to PMO Team, 80% to Delivery Team; within each, 50% to DEs, 50% to RDAs.
- Nominal Value: Value of one Equity Credit, set at one man-hour of work (e.g., 100 hours = 100 credits).
- Permanent Team Members: Core Co-creators in the Primary Team (PMO or Delivery roles).
- Primary Team: Core group for each Project, comprising PMO Team and Delivery Team.
- Projects: Clients outsourcing Building Blocks, either independent entities or Network-incubated startups.
- promiXo: A cryptocurrency backed by Equity Shares, exchangeable at 1:1 with Equity Credits, aimed at funding an Unconditional Basic Income (pending legal approval).
- R&D Associates (RDAs): Co-creators executing tasks under a DE’s guidance, billing based on their hours.
- Standard Credit Term: 90 days from billing date for settling Equity Credits in cash.
- Startup Tribe: A Network-affiliated foundry fostering social enterprise startups.
1. Compensation
1.1 Earning Equity Credits: As a Co-creator in a Primary Team, you earn Equity Credits based on your contribution to delivered Building Blocks, calculated as Agreed EMH × Contractual Rates.
- Example: 1,280 hours at $10/hour = 12,800 credits.
1.2 Payment: Credits are payable in cash within 90 days of billing, in the Project’s approved currency. You bear any forex gains/losses and remittance costs.
1.3 Default Options: If unpaid after 90 days, you may:
- Convert credits to Equity Shares at Nominal Value (1 credit = 1 share); or
- Exchange credits for promiXo coins at 1:1 (subject to promiXo launch).
1.4 Stock Options: Unpaid credits are secured by Stock Options, granting the right to convert to Equity Shares if payment defaults.
1.5 Equitable Share Formula: Credits are split:
- PMO Team: 20% (50% to DEs, 50% to RDAs).
- Delivery Team: 80% (50% to DEs, 50% to RDAs).
- Ad Hoc Members dilute this proportionally based on their contribution’s fair market value, set by the Project and PMO Team.
- Example: $12,800 credits → PMO ($2,560: DE $1,280, RDAs $1,280) + Delivery ($10,240: DE $5,120, 8 RDAs $640 each).
1.6 Taxes: You are responsible for your own tax and compliance obligations.
2. Roles and Responsibilities
2.1 Co-creators: You must be a Network member, accepting its Vision, Mission, and Values, and work in Startup Tribe teams.
2.2 Primary Team: Each Project has:
- PMO Team: Plans, resources, manages, and accounts for Building Blocks.
- Delivery Team: Executes and delivers Building Blocks.
2.3 Team Roles:
- DEs: Oversee and approve work; one DE per BB.
- RDAs: Perform assigned BBs; billable hours are RDA-based only.
2.4 Ad Hoc Members: Added as needed, valued at fair market rates (e.g., $10 SaaS subscription dilutes shares from 100 to 110 total value).
3. Equity and promiXo
3.1 Equity Shares: Represent ownership in Projects. Shares are transferable only among Network members unless the Project spins off as an independent entity.
3.2 promiXo (Work in Progress): A coin tied to Equity Shares, with dividends funding a community Basic Income after admin costs. Exchangeable at 1 credit = 1 coin via a future banking portal (pending legal clearance).
4. Obligations
4.1 Network Platform: Use https://betterworldmakers.net for all Project work to ensure compliance monitoring.
4.2 Exclusivity: This Contract applies only to Network members; non-members cannot invest or contribute.
4.3 Good Faith: Act in the Project’s best interest, disclosing conflicts to the PMO Team in writing for resolution within 14 days.
5. Dispute Resolution
5.1 Arbitration: Disputes go to the Network’s arbitration panel first, with a decision within 60 days. You may escalate to courts if dissatisfied, per the Network’s Terms and Conditions.
6. Termination
6.1 Breach: Violation of this Contract or Network principles (per investigation under Network Terms) terminates your role, with credits paid or converted per Section 1.
6.2 Project End: On Project completion or spin-off, unpaid credits convert to shares or cash as agreed.
7. General Provisions
7.1 No Employment: This Contract creates no employer-employee or agency relationship with the Network or Startup Tribe.
7.2 Intellectual Property: Contributions to Building Blocks grant Projects a perpetual license; ownership is Project-specific.
7.3 Liability: You bear risks of your contributions; the Network isn’t liable for Project defaults.
7.4 Amendments: Changes require mutual written consent.
4. Non-Disclosure Agreement
This Non-Disclosure Agreement ("Agreement") is entered into between:
- Parties
- Disclosing Party: Better World Makers Network Pte. Ltd. (Company Registration No. 201107250N), a Singapore-based entity, including its affiliates directly involved in Network projects ("Network").
- Receiving Party: You, the undersigned individual, including any entity or team you legally represent ("You").
- Collectively, the Disclosing Party and Receiving Party are the "Parties."
Definitions
- Confidential Information: Any non-public data, materials, or knowledge disclosed by the Network to You relating to its operations, projects, or members, including but not limited to business plans, technical details, and member contributions, whether disclosed before, on, or after the Effective Date.
- Effective Date: The date You join the Network as a member by accepting terms and conditions for the membership.
- Territory: Singapore, the Network’s headquarters jurisdiction.
1. Purpose
1.1 This Agreement protects Confidential Information shared during Your membership in the Network, enabling ethical collaboration aligned with the Network’s Vision, Mission, and Values.
2. Obligations of the Receiving Party
2.1 Confidentiality: You agree to:
- Keep Confidential Information strictly private, using at least the same care as You apply to Your own sensitive data (e.g., passwords, personal records).
- Not share it with any third party without the Network’s prior written consent.
- Use it solely to participate in or evaluate Network projects, not for personal gain or external purposes.
- Not copy, modify, or reverse-engineer it without permission.
2.2 Team Compliance: If You share Confidential Information with Your employees, agents, or subcontractors for Network purposes, You must ensure they sign an NDA with terms matching this Agreement.
3. Exceptions to Confidentiality
3.1 You are not bound to protect information that:
- Becomes publicly known through no fault of Yours (e.g., via lawful publication).
- You can prove You knew or possessed before disclosure, documented in writing (unless illegally obtained).
- A third party legally shares with You without breaching any duty to the Network.
- You independently develop without using Network information, evidenced by records.
3.2 Legal Disclosure: If law or a court order requires disclosure, You must:
- Notify the Network promptly in writing (unless legally prohibited).
- Use reasonable efforts to limit disclosure and assist the Network in seeking a protective order.
4. Duration and Return of Information
4.1 Confidentiality Period: Your obligations last for five (5) years from the date of each disclosure, unless terminated earlier per Section 6.
4.2 Return or Destruction: At the Network’s written request, You will:
- Return all tangible Confidential Information (e.g., documents, drives) within 14 days.
- Destroy intangible copies (e.g., digital files) and confirm destruction in writing, except where retention is legally required.
5. Rights and Disclaimers
5.1 No Obligation: The Network isn’t required to share Confidential Information or pursue any project with You.
5.2 No License: This Agreement grants no ownership or usage rights to Confidential Information beyond evaluation purposes.
5.3 No Warranty: The Network provides Confidential Information "as is," with no guarantee of accuracy or completeness. You rely on it at Your own risk, making Your own assessments.
6. Termination
6.1 This Agreement ends:
- Upon mutual written consent; or
- If Your Network membership terminates, per the Network’s Terms and Conditions.
6.2 Post-termination, confidentiality obligations survive for five (5) years from the last disclosure.
7. Remedies
7.1 Breach: If You misuse Confidential Information, the Network may seek:
- Injunctive relief to stop further breaches; and
- Monetary damages for losses caused, subject to legal proof.
7.2 You acknowledge that breaches may cause irreparable harm to the Network’s mission and members.
8. General Provisions
8.1 Governing Law: This Agreement is governed by Singapore law.
8.2 Dispute Resolution: Disputes will be resolved per the Network’s arbitration process (see Terms and Conditions), with escalation to Singapore courts if needed. Jurisdiction is exclusive to Singapore courts.
8.3 No Waiver: Delays in enforcing rights don’t waive them.
8.4 Severability: If any clause is invalid, the rest remains enforceable.
8.5 No Assignment: You may not transfer this Agreement without Network consent.
8.6 Entire Agreement: This replaces all prior discussions on confidentiality, amendable only in writing by both Parties.
8.7 Liability Limit: The Network, its directors, employees, or agents aren’t liable for Your use of Confidential Information, except for fraudulent misrepresentation.
5. Legal
